Applies to the Suki Business mobile application and web console. This is a business-to-business agreement. Consumer-protection rules that apply to customers do not apply to you as a business.
1. Agreement
By registering a business account you agree to these Terms and to our Privacy Policy, and you confirm that:
- you are at least 18 years old;
- you are the owner of the business or authorised to bind it;
- the business is lawfully operating and holds the permits and licences it requires;
- the information you provide is accurate and current.
2. What Suki provides
Suki is a platform. We provide:

We are not the seller. You sell your own goods and services directly to customers. We facilitate discovery, ordering, payment, and delivery.
3. Account approval
Registration does not create an account you can trade with. Your account starts as pending and you cannot receive orders until we approve it.
We may decline or revoke approval if we cannot verify your business, if your products or services breach section 5, if you have previously breached these Terms, or if we are required to by law.
4. Your obligations
4.1 Business operation
- Keep your business information, hours, and fulfilment methods accurate.
- Honour the prices you publish.
- Accept and fulfil orders during your published hours.
- Update product availability promptly.
- Maintain the licences and permits your business requires.
- Comply with all applicable law, including food-safety regulation.
4.2 Order fulfilment

Notes and special requests. Customers can attach a note to an item ("no spicy", "remove onions") or to the whole order. You are not obliged to accept every request — you may be out of an alternative, or the ingredient may already be in a pre-made dish. But you must either honour the request or tell the customer through in-app chat before preparing it. Silently ignoring a request and sending the dish anyway is the case that turns into a refund claim, and it is the business's to avoid.
Treat allergy-related notes with particular care. If you cannot be confident about an ingredient, say so rather than guessing.
4.3 Customer data
You receive customer name, mobile number, delivery address, and order details solely to fulfil that order.
You must not use it for your own marketing, sell or share it, or retain it beyond what fulfilment and any dispute period require. Your full obligations are set out in Privacy Policy section 3.
Misuse of customer data is a material breach and may result in immediate termination and independent liability to the customer and to the National Privacy Commission.
4.4 Product listings
Listings must be accurate and not misleading, use images you have the right to use, disclose material information such as allergens, ingredients, and restrictions, and comply with labelling law.
You are responsible for the accuracy and legality of everything you list.
5. Prohibited products and conduct
You may not list or sell:
- anything illegal in the Philippines;
- prescription medication or regulated drugs;
- weapons, ammunition, or explosives;
- counterfeit or infringing goods;
- stolen goods;
- live animals;
- adult content or services;
- tobacco or alcohol, unless you hold the required licence and we have approved it in writing;
- anything requiring a licence you do not hold.
You may not:
- manipulate ratings, reviews, orders, or loyalty points;
- place orders with your own business, or arrange for others to, in order to farm points, inflate ratings, or consume advertising;
- discriminate against customers unlawfully;
- solicit customers to transact off-platform to avoid commission;
- misuse customer data;
- interfere with the platform or attempt to access data that is not yours.
6. Fees and commission
6.1 What is free
Walk-in and cash-on-delivery orders carry no commission. You keep 100%. The point-of-sale, receipts, catalogue, reports, and loyalty programme are free.
This is deliberate: those orders never pass through our platform, you already hold the cash, and we would rather your in-business operations cost you nothing.
6.2 Commission on online-paid orders
We charge a commission on the item subtotal of orders paid online through the platform.

You pay commission only when we brought you a paid sale. On a quiet day it costs you nothing.
6.3 Changing fees
We may change commission and fees. We will give you at least 30 days' written notice in-app and by email. If you do not accept a change, you may close your account before it takes effect. Continuing to trade after that means you accept the new rate.

7. Your wallet and payouts
7.1 How the wallet works
Proceeds from online-paid orders are credited to your Suki wallet when the order completes, less commission. You may also deposit funds to pay for advertising.
Proceeds are held for 24 hours after completion before becoming withdrawable. That hold is the dispute window: if a customer reports a problem in that time, a refund nets off cleanly instead of being clawed back from a balance you may have already withdrawn.

Payout account numbers are encrypted and decrypted only when staff process your withdrawal.
7.3 Holds
We may hold or reverse wallet funds where we reasonably suspect fraud, where an order is disputed or refunded, where funds were credited in error, or where we are required to by law.
We will tell you why and give you an opportunity to respond, unless prevented by law or an active investigation.
7.4 Closing your account
Withdraw your balance before closing. An unwithdrawn balance is held for 12 months from closure, during which you may claim it by contacting [TODO: businesses@…]. We will write to your registered email before that period ends. After 12 months the balance is dealt with in accordance with applicable law.
7.5 Not a bank
Your Suki wallet is a record of amounts we owe you. It is not a bank account, not a deposit, and not insured by the PDIC. It does not earn interest.
8. Loyalty programme
8.1 Free, always
The loyalty programme costs you no commission and no fee. It exists to bring customers back to your business.
8.2 You set the rate
You set how many points customers earn per peso spent at your business, and which of your products can be redeemed with points.
8.3 You bear the redemption cost
When a customer redeems points at your business, you provide the item. Suki does not reimburse you. That is the trade: a free programme, and you fund the reward that brings the customer back.
8.4 Points are per-business
Points earned at your business are redeemable at your business only. They are not transferable to or from any other business.
8.5 Changing your rate
You may change your earning rate. Changes apply to future purchases only — points already earned are not affected.
8.6 Leaving the platform
If you close your account, give us at least 30 days' notice so customers holding points at your business can redeem them first.
9. Advertising
Advertising packages are prepaid from your wallet and provide a daily impression allowance for a fixed period.
- Prices are shown before purchase.
- Impressions are not guaranteed to produce orders.
- We may reject or remove advertising that breaches section 5 or our content standards.
- Prepaid advertising is non-refundable once a campaign has started, except where we cancel it for a reason that is not your fault — in which case we refund the unused portion to your wallet.
10. Delivery
Riders are independent contractors, not our employees and not yours.
You must have delivery orders ready when the rider arrives, hand over the correct items, and treat riders with respect.
We do not guarantee that a rider will be available for every delivery order.
11. Ratings and reviews
Customers may review your products. Reviews are their own opinions.
We do not remove a review simply because it is negative. We will remove reviews that are unlawful, abusive, or breach our content rules — report them to [TODO: businesses@…].
You must not manipulate reviews. No incentivising positive reviews, no posting reviews of your own business, no penalising customers for honest feedback.
12. Intellectual property
Yours. You keep ownership of your business name, logo, product images, and descriptions. You grant Suki a worldwide, royalty-free, non-exclusive licence to display and use them to operate and promote the platform, including in marketing that features businesses.
You warrant that you hold the rights to everything you upload.
Ours. The Suki name, logo, apps, and platform remain ours. You get a limited, revocable licence to use the business apps for your business.
13. Suspension and termination
13.1 By us
We may suspend or terminate your account for breach of these Terms, suspected fraud, repeated cancellations or poor fulfilment, customer-safety concerns, misuse of customer data, or where required by law.
Where practical we will give notice and an opportunity to remedy. Serious breaches — fraud, unsafe products, customer data misuse — take effect immediately.
13.2 By you
Close your account at any time. Fulfil accepted orders first, and withdraw your wallet balance.
13.3 On termination
Your business is removed from public view; outstanding orders should still be fulfilled; your wallet balance is payable subject to section 7; we retain records we are legally required to keep.
14. Disclaimers and liability
The platform is provided "as is". We do not warrant uninterrupted or error-free operation, a particular volume of orders, rider availability, or any level of revenue.
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages; for lost profits, revenue, or goodwill; for the acts of customers or riders; or for matters beyond our reasonable control.
Our total liability to you in any 12-month period is limited to the total commission and fees you paid us in that period.
These limits do not apply to fraud, or to liability that cannot be limited by law.
15. Indemnity
You indemnify us against claims arising from the products or services you sell; your breach of these Terms; your violation of any law; your infringement of another's rights; your misuse of customer data; and content you upload.
This includes claims relating to food safety, product quality, and allergens, which are entirely your responsibility.
16. Relationship
You are an independent business. Nothing here creates employment, agency, partnership, or joint venture. You control your own prices, products, staff, and operations. You are responsible for your own taxes, permits, insurance, and employees.
17. Taxes
You are solely responsible for determining, collecting, reporting, and remitting your own taxes, including VAT and income tax, and for issuing official receipts where the law requires.
We provide transaction records to support your reporting. We do not provide tax advice.
Where the law requires us to withhold or report on payouts we make to you, we will do so and give you the corresponding certificate.
18. Disputes
With a customer: resolve it directly through in-app chat first. We may assist but are not a party to your contract with them.
With Suki: contact [TODO: businesses@…]. We aim to resolve within 15 business days.
Governing law: the Republic of the Philippines. Exclusive jurisdiction: [TODO: court venue, e.g. the courts of Cebu City].
19. Changes
Material changes — including fee changes — will be notified at least 30 days in advance in-app and by email. Continuing to trade after that means you accept them.
20. General
Entire agreement · Severability · No waiver · You may not assign; we may assign to a successor · Force majeure for events beyond reasonable control · English governs any translation.
Survival. Sections 7 (wallet), 12 (intellectual property), 14 (liability), 15 (indemnity), 17 (taxes), and 18 (disputes) survive termination.
